Terms of Use

The rules for accessing MentorU as a platform visitor, workspace owner, provider, customer, or member.

Platform operator: Kahel Ventures LLC, an Oregon limited liability company, operating MentorU.

Agreement to These Terms

These Terms of Use govern access to MentorU websites, workspaces, account tools, checkout flows, member areas, content areas, scheduling tools, communication features, and related platform services. By visiting MentorU, creating an account, launching a workspace, buying or joining an offering, or otherwise using the platform, you agree to these Terms.

If you use MentorU for an organization, business, brand, or workspace, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use MentorU.

Platform Roles

MentorU is a platform for people and organizations that sell, manage, deliver, or participate in mentoring, coaching, education, community, membership, event, course, content, and related relationship-based offerings. A workspace owner or provider controls its own brand, offerings, pricing, customers, members, content, policies, and fulfillment. Customers and members use MentorU to discover, buy, access, schedule, participate in, or communicate about those provider offerings.

MentorU provides the platform infrastructure. Providers are responsible for their own offerings, promises, policies, support, cancellations, refunds, taxes, legal compliance, and customer or member relationships unless a separate written agreement says otherwise.

Accounts and Workspace Access

You are responsible for the accuracy of account, organization, billing, tax, contact, workspace, and profile information you provide. You must keep login credentials confidential and promptly notify MentorU if you believe an account has been accessed without authorization.

We may limit, suspend, or remove accounts, workspace access, or platform features when required to protect users, comply with law, enforce these Terms, address security concerns, or preserve platform integrity.

Acceptable Use

You may use MentorU only for lawful purposes and in a way that does not harm the platform, other users, providers, customers, members, or third parties. You agree not to:

  • Violate applicable laws, regulations, rights, or platform policies.
  • Harass, threaten, exploit, deceive, or abuse another person.
  • Impersonate another person or misrepresent your authority.
  • Upload, sell, promote, or distribute unlawful, infringing, harmful, or deceptive content.
  • Interfere with platform security, availability, accounts, data, or infrastructure.
  • Scrape, reverse engineer, probe, overload, or bypass technical controls except as permitted by law.
  • Use MentorU to send spam, unauthorized marketing, malware, or other abusive communications.

Additional platform policies may apply to specific uses, including MentorU's Copyright and Intellectual Property Policy, Communications and Email Policy, Minors and Youth Program Policy, and AI and Automation Policy.

Provider Offerings and Member Relationships

Provider offerings may include courses, memberships, cohorts, sessions, events, downloads, community access, content libraries, services, or other paid or unpaid experiences. Unless MentorU is explicitly identified as the provider of a specific offering, the provider, not MentorU, is responsible for describing, delivering, supporting, changing, cancelling, and refunding that offering.

MentorU may provide tools that help providers manage customers, members, scheduling, content, communications, and payments. Those tools do not make MentorU a party to every provider-customer relationship or guarantee any provider result, outcome, availability, credential, qualification, statement, or promise.

Customer purchases and access through provider offerings are also subject to the Customer Purchase Terms.

Payments and Third-Party Processors

Payments may be processed by third-party payment processors such as Stripe. Payment processors may collect, process, decline, hold, refund, dispute, or verify payment information under their own terms, policies, and compliance obligations. MentorU does not store complete payment card numbers.

Prices, fees, taxes, renewal terms, cancellation terms, refund terms, chargeback responsibilities, and fulfillment obligations for provider offerings are controlled by the applicable provider unless MentorU states otherwise in a separate written agreement or checkout notice. Platform fees owed to Kahel Ventures may be nonrefundable except where required by law or expressly agreed in writing.

No Professional Advice by MentorU

MentorU is a technology platform. MentorU does not provide legal, financial, tax, medical, mental health, therapy, counseling, investment, employment, compliance, or other professional advice. Content, automation, templates, AI-assisted outputs, communications, and provider materials available through the platform are for operational, educational, or informational use unless the applicable provider separately agrees otherwise.

You are responsible for evaluating whether a provider, offering, recommendation, template, or communication is appropriate for your circumstances and for seeking qualified professional advice when needed.

Platform Availability and Changes

MentorU may change, pause, restrict, replace, or discontinue platform features at any time. We work to keep the platform reliable, but we do not guarantee that MentorU will be uninterrupted, error-free, secure, or available at every location or time.

Some features depend on third-party services, provider configuration, internet access, device compatibility, email delivery, payment processing, calendars, video services, or other external systems. Failures or changes in those systems may affect platform behavior.

Content and Intellectual Property

MentorU and Kahel Ventures own the MentorU platform, software, interfaces, workflows, templates, design system, trademarks, branding, documentation, and related intellectual property, except for content owned by providers, customers, members, or third parties.

You retain ownership of content you upload, submit, publish, or manage through MentorU, subject to rights you grant to MentorU to host, process, display, transmit, adapt, and use that content as needed to operate, secure, support, improve, and provide the platform. You are responsible for having the rights needed for content you provide.

You may not copy, resell, sublicense, or exploit MentorU platform materials or software except as allowed by these Terms, platform features, or a separate written agreement.

Privacy and Data

MentorU handles personal information as described in the MentorU Privacy Policy. Providers may also maintain their own privacy notices, data practices, and legal obligations for customer, member, lead, workspace, content, and communication data they control.

You agree not to upload sensitive personal information, regulated data, or confidential third-party information unless you have the legal right to do so and the platform feature is appropriate for that use.

Third-Party Services and Links

MentorU may connect to or link to third-party services, including payment processors, email providers, calendar tools, video services, analytics tools, hosting services, and provider websites. MentorU is not responsible for third-party services, content, availability, security, policies, or decisions.

Termination

You may stop using MentorU at any time. MentorU may suspend or terminate access to the platform, a workspace, account, feature, content, or offering if we believe continued access could violate these Terms, create risk, harm users, infringe rights, compromise security, or violate law.

Termination does not erase obligations that arose before termination, including payment obligations, platform fees, provider/customer responsibilities, intellectual property restrictions, disclaimers, liability limits, and dispute terms.

Disclaimers

MentorU is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, MentorU and Kahel Ventures disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.

MentorU does not warrant provider offerings, customer outcomes, member results, third-party services, payment processor decisions, AI-assisted outputs, communications, or content supplied by users or providers.

Limitation of Liability

To the fullest extent permitted by law, MentorU and Kahel Ventures will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, business, goodwill, revenue, opportunity, or reputation arising from or related to the platform, provider offerings, third-party services, content, or these Terms.

To the fullest extent permitted by law, MentorU and Kahel Ventures' total liability for claims related to the platform or these Terms will not exceed the greater of one hundred dollars or the amount you paid directly to Kahel Ventures for MentorU platform access in the three months before the event giving rise to the claim.

Indemnity

You agree to defend, indemnify, and hold harmless MentorU, Kahel Ventures, and their owners, employees, contractors, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from your use of MentorU, your content, your offerings, your customer or member relationships, your violation of these Terms, or your violation of law or third-party rights.

Governing Law and Disputes

These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law principles. To the extent a dispute is not resolved informally and a court proceeding is permitted, the parties consent to the state and federal courts located in Oregon unless applicable law requires another venue.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the date above and may provide additional notice through the platform, email, or other reasonable means. Your continued use of MentorU after updated Terms are posted means you accept the updated Terms.
